("Terms") govern your application for, and participation in, membership of the Nigerian–Arabian Gulf Chamber of Commerce ("NAGCC", "the Chamber", "we", "us" or "our").

By submitting a membership application, creating a membership account, making payment of a membership fee or using any member-only service, you agree to be bound by these Terms.

1. MEMBERSHIP

1.1 NAGCC provides a platform for promoting business, trade, investment, networking and economic relationships between Nigeria and the Arabian Gulf region.

1.2 Membership is open to eligible businesses, organisations, professionals, entrepreneurs, investors and other persons or entities approved by NAGCC.

1.3 Submission of an application does not guarantee admission. NAGCC may accept or reject an application at its discretion and may conduct such verification or due diligence as it considers appropriate.

1.4 Where an application is submitted on behalf of an organisation, the applicant confirms that they are authorised to act on its behalf.

1.5 Membership is personal to the Member and may not be transferred without NAGCC's prior written approval.

2. MEMBERSHIP CATEGORIES AND BENEFITS

2.1 NAGCC may offer different membership categories, each with its applicable fees, eligibility requirements and benefits.

2.2 Depending on the membership category, benefits may include access to:

a. business networking and introductions;

b. market research, reports and updates;

c. training and capacity-building programmes;

d. the NAGCC Business Directory;

e. trade and investment opportunities;

f. events, conferences and trade missions;

g. the Nigeria Trade House;

h. consulting or business-support services; and

i. other programmes or benefits introduced by NAGCC from time to time.

2.3 NAGCC may modify or replace particular benefits where reasonably necessary and does not guarantee that any particular event, introduction, opportunity, contract, investment or commercial outcome will result from membership.

3. MEMBERSHIP FEES AND RENEWAL

3.1 Members shall pay the applicable membership and other published fees.

3.2 Membership shall become effective upon approval of the application and receipt of all applicable fees, unless otherwise confirmed by NAGCC.

3.3 Membership fees are generally non-refundable once membership has been approved and activated, except where NAGCC determines otherwise or applicable law requires a refund.

3.4 Membership shall be renewed in accordance with the applicable renewal terms. NAGCC may suspend or terminate membership where fees remain unpaid.

3.5 NAGCC may revise membership fees for future membership periods upon reasonable notice.

4. MEMBER ACCOUNT AND INFORMATION

4.1 Members shall provide accurate, complete and current information and shall promptly notify NAGCC of any material changes.

4.2 Members are responsible for maintaining the confidentiality of their account credentials and for activities conducted through their accounts.

4.3 NAGCC may suspend access to an account where it reasonably believes that the account has been compromised or misused.

5. MEMBER DIRECTORY AND PROMOTIONAL USE

5.1 Members may, depending on their membership category, be listed in the NAGCC Business Directory.

5.2 Members authorise NAGCC to use their business name, logo and information supplied for legitimate membership, directory, networking and promotional purposes.

5.3 Members are responsible for ensuring that information supplied to NAGCC is accurate and does not infringe any third-party rights.

5.4 Inclusion in the NAGCC Business Directory or use of NAGCC services does not constitute an endorsement, certification or guarantee of the Member, its products or services.

6. BUSINESS INTRODUCTIONS AND OPPORTUNITIES

6.1 NAGCC may facilitate introductions between Members and other businesses, investors, institutions or organisations and may circulate trade and investment opportunities.

6.2 NAGCC acts as a facilitator and does not guarantee the identity, financial standing, performance, suitability or regulatory compliance of any person or business introduced to a Member.

6.3 Members are responsible for conducting their own legal, financial, commercial and regulatory due diligence before entering into any transaction or relationship.

6.4 NAGCC shall not be a party to, or responsible for, any transaction, contract, investment, partnership or other arrangement between Members or third parties.

7. MEMBER OBLIGATIONS

Members shall:

a. comply with these Terms and applicable laws;

b. provide truthful and accurate information;

c. act professionally and in good faith towards NAGCC and other Members;

d. maintain the confidentiality of information received through NAGCC;

e. pay applicable fees when due; and

f. promptly notify NAGCC of any material change affecting their membership.

8. PROHIBITED CONDUCT

Members shall not use their membership or the NAGCC platform to:

a. engage in fraud, corruption, money laundering or other unlawful activities;

b. provide false or misleading information;

c. infringe another person's intellectual property or other rights;

d. harass, threaten or discriminate against another Member;

e. misuse confidential information;

f. falsely represent themselves as an agent or representative of NAGCC; or

g. represent that NAGCC endorses or guarantees their business, products, services or transactions without NAGCC's written authorisation.

9. USE OF NAGCC NAME AND INTELLECTUAL PROPERTY

9.1 Membership does not grant a Member ownership of, or unrestricted rights to use, NAGCC's name, logo, trademarks, publications or other intellectual property.

9.2 Members may only use the NAGCC name or membership designation in accordance with NAGCC's applicable branding requirements.

9.3 Members shall not represent that they have authority to act on behalf of NAGCC unless expressly authorised in writing.

10. DATA PROTECTION

10.1 NAGCC may collect and process personal and business information for purposes including membership administration, communication, verification, networking, events and provision of membership benefits.

10.2 Such information shall be processed in accordance with NAGCC's Privacy Policy and applicable Nigerian data protection laws.

10.3 Members shall ensure that personal information submitted to NAGCC has been collected and disclosed lawfully.

11. COMPLIANCE AND DUE DILIGENCE

11.1 NAGCC may conduct reasonable identity, corporate, beneficial ownership, sanctions, regulatory and other due diligence on applicants and Members.

11.2 NAGCC may request additional information or documentation where reasonably required.

11.3 NAGCC may refuse, suspend or terminate membership where continued membership may expose NAGCC to legal, regulatory, financial or reputational risk.

12. SUSPENSION AND TERMINATION

12.1 NAGCC may suspend or terminate membership where a Member:

a. materially breaches these Terms;

b. fails to pay applicable fees;

c. provides materially false or misleading information;

d. engages in unlawful, fraudulent or serious misconduct;

e. misuses NAGCC's name or membership status; or

f. otherwise presents a material risk to NAGCC or its Members.

12.2 A Member may terminate its membership by giving written notice to NAGCC.

12.3 Upon termination or expiry, the Member shall cease representing itself as a current NAGCC Member and may lose access to member-only services and benefits.

12.4 Termination shall not affect rights or obligations accrued before termination.

13. DISCLAIMER

13.1 Membership and NAGCC's services are provided to facilitate networking, information, trade and business development.

13.2 NAGCC does not guarantee any particular commercial, investment or business outcome and does not provide any warranty regarding the performance, solvency, reputation or conduct of another Member or third party.

13.3 Information, market reports and other materials provided by NAGCC are for general informational purposes and should not be treated as legal, financial, tax or investment advice unless expressly stated otherwise.

14. LIMITATION OF LIABILITY AND INDEMNITY

14.1 To the fullest extent permitted by law, NAGCC shall not be liable for indirect, consequential or economic losses, including loss of profits, revenue, contracts, investments or business opportunities arising from membership or dealings with another Member or third party.

14.2 NAGCC shall not be responsible for transactions, agreements or disputes between Members or third parties.

14.3 Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

14.4 A Member shall indemnify NAGCC and its directors, officers, employees and representatives against claims, losses, liabilities and expenses arising from the Member's breach of these Terms, unlawful conduct, infringement of third-party rights or misuse of NAGCC's name or services.

15. CONFIDENTIALITY

15.1 Members shall keep confidential any non-public or commercially sensitive information received through NAGCC and shall not disclose or misuse such information without appropriate authority.

15.2 NAGCC shall not be responsible for information voluntarily disclosed by a Member through public profiles, directories, events or networking activities.

16. CHANGES TO THESE TERMS

16.1 NAGCC may amend these Terms or modify its membership categories and benefits from time to time.

16.2 Material changes shall be communicated through the Membership Portal, email or other appropriate means.

16.3 Continued use of NAGCC membership services after notification of amended Terms constitutes acceptance of the amended Terms.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 These Terms shall be governed by the laws of the Federal Republic of Nigeria.

17.2 Any dispute concerning membership shall first be referred to NAGCC for amicable resolution.

17.3 Where a dispute cannot be resolved amicably, the parties may agree to mediation or arbitration in accordance with applicable Nigerian law.

17.4 Nothing in this clause prevents NAGCC from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

18. ACCEPTANCE AND CONTACT

By submitting a membership application, ticking the acceptance box, making payment or using NAGCC member-only services, you confirm that you have read, understood and agreed to these Terms.
